Terms of Service

Introduction

CPE.io LLC, a Georgia limited liability company, doing business as TeachMetrics ("TeachMetrics", "we," or "us") refers to employees, independent contractors, agents, and representatives ("our Team"). By using the TeachMetrics application (the "App"), a browser-based application (extension), you're agreeing to these Terms.

We provide a browser-based application that helps you analyze and gain insights from your Teachable school data (the "Services"). The TeachMetrics application (we'll refer to it as the "App") connects to your Teachable account via the Teachable API and provides analytics dashboards, reports, and insights about your students, courses, and revenue.

As a user of the App, or a representative of an entity that's using the App, you're a "User" according to this agreement (or "you"). These Terms of Service ("Terms," including our Privacy Policy) define the terms and conditions under which you're allowed to use the TeachMetrics App and how we'll treat your account while you're a User.

Account

1. Eligibility

In order to use the TeachMetrics App, you must:

  • be at least eighteen (18) years old and able to enter into contracts;
  • have a valid Teachable Pro Plan or higher subscription with API access;
  • comply with the terms of service of the Google Chrome Web Store;
  • agree to these Terms;
  • be the owner or authorized administrator of the Teachable school you connect; and
  • comply with Teachable's Terms of Service and API usage policies.

By using the TeachMetrics App, you represent and warrant that you meet all the requirements listed above, and that you won't use the App in a way that violates any laws or regulations. You also agree not to use the App for any purpose it was not designed for. You specifically agree not to attempt to reverse engineer, decompile, or otherwise attempt to discover the source code of the App, whether through manual analysis, automated tools, or artificial intelligence. TeachMetrics reserves the right to restrict access to the App and take appropriate legal action against users who violate these Terms.

2. Term

The Term begins when you install the TeachMetrics App and continues as long as you use the Service. Installing the App means that you've officially "signed" the Terms. If you install the App on behalf of a company or other entity, you represent and warrant that you have the authority to accept these Terms on their behalf. You may terminate your use of the TeachMetrics App at any time by uninstalling it from your browser.

When you uninstall the App, all data stored by the App will be automatically cleared by your browser. This deletion is irrevocable and your data cannot be retrieved once the App has been uninstalled. If you wish to preserve your analytics data, please export it before uninstalling the App.

3. Changes

We may change any of the Terms by publishing a new version of the TeachMetrics App in the Chrome Web Store. The new Terms will be effective immediately upon publishing the updated App. By continuing to use the App after changes are published, you agree to the revised Terms. We may change the App, the Service, or any features of the Service at any time.

4. Account and Password

TeachMetrics does not require user accounts or passwords. Your Teachable data is associated with your browser on your computer and is not linked to any TeachMetrics user account. Your Teachable API key is stored securely in your browser's local storage. You are responsible for keeping your computer, browser, and Teachable API key secure. We are not responsible for any losses due to stolen or hacked computers, browsers, or API keys.

5. User Data Disputes

We don't know your organization or the nature of your relationships, and we don't arbitrate disputes over who owns the Teachable data or analytics stored in your browser or device.

Rights

6. Proprietary Rights Owned by Us

You shall respect our proprietary rights in the App and the software used to provide the TeachMetrics service (proprietary rights include patents, trademarks, service marks, and copyrights).

7. Proprietary Rights Owned by You

You represent and warrant that you either own or have permission to use and analyze the data from your Teachable school. You retain ownership of your Teachable data. You can export your analytics data from the Service at any time. We may use or disclose your materials only as we describe in these Terms and our Privacy Policy.

8. Privacy Policy

We may use and disclose your information according to our Privacy Policy. Our Privacy Policy will be treated as part of these Terms.

9. Right to Review and Use Data

Your Teachable data synced via the Teachable API is stored locally in your browser and is not transmitted to our servers. If you enable real-time webhook updates, webhook event notifications (not your full Teachable data) are temporarily processed through our webhook relay service. See Section 12 for details.

We may collect anonymized, aggregated usage data about how the App is used to improve our services. Such aggregated data cannot identify you personally. No personally identifiable information or your Teachable school data is used in these processes.

Rules and Abuse

10. General Rules

You promise to follow these rules:

  • You will only connect Teachable schools for which you are the owner or authorized administrator.
  • You won't use the App to access data you don't have permission to view.
  • You won't violate our Terms of Service or Privacy Policy.
  • You won't use our Service in an unintended way.
  • You won't attempt to circumvent Teachable's API rate limits through the App.
  • You won't use the App to violate any laws, regulations, or Teachable's Terms of Service.

If you violate any of these rules, then we may suspend or terminate your access to the App.

11. Reporting Abuse

If you think anyone is violating any of these Terms, please notify us immediately. Please report any suspicious activity or potential violations.

12. Service Usage

TeachMetrics processes your Teachable data locally in your browser using the Teachable API. This data flows directly between your browser and Teachable.com—our servers are not involved.

For real-time webhook updates, we provide a webhook relay service. Webhook event notifications from Teachable are routed through Hookdeck (for reliable delivery) and temporarily stored in Supabase until synced to your browser, then automatically deleted within 24 hours. Your main Teachable data never passes through these services—only webhook event notifications.

You may only use this service for legitimate TeachMetrics functionality. We may throttle or restrict usage at our discretion.

13. Compliance with Laws

You are responsible for using the TeachMetrics App in compliance with all applicable laws and regulations in your jurisdiction, including data protection laws that may apply to your Teachable students' data. We are not responsible for your compliance with local laws.

14. U.S. Export Controls

The software that supports the Services (the "Software") is subject to United States export controls. None of the Software may be downloaded or otherwise exported or re-exported in violation of United States export laws. You're using the Software at your own risk.

Liability

15. Limitation of Liability

To the maximum extent permitted by law, you assume full responsibility for any loss that results from your use of the App and the Services. We and our Team won't be liable for any indirect, punitive, special, or consequential damages under any circumstances, even if they're based on negligence or we've been advised of the possibility of those damages. Our total liability for all claims made about the Service in any month will be no more than what you paid us for the Service the month before.

16. No Warranties

To the maximum extent permitted by law, we provide the App and the Service as is. We don't provide warranties of any kind, either express or implied, including but not limited to warranties of merchantability and fitness for a particular purpose. We do not guarantee the accuracy of analytics derived from your Teachable data.

17. Indemnity

You agree to indemnify and hold us harmless from any losses (including attorney fees) that result from third-party claims that you or someone using your browser did something that, if true, would violate any of these Terms.

18. Attorney Fees

If we file an action against you claiming you breached these Terms and we prevail, we're entitled to recover reasonable attorney fees and any damages or other relief we may be awarded.

19. Equitable Relief

If you violate these Terms then we may seek injunctive relief (meaning we may request a court order to stop you) or other equitable relief.

20. Disclaimers

We and our Team aren't responsible for the behavior of Teachable, the accuracy of data provided by Teachable's API, or any third-party services.

Fine Print

21. Assignments

You may not assign any of your rights under this agreement to anyone else. We may assign our rights to any other individual or entity at our discretion.

22. Choice of Law

The laws of the State of Georgia, USA, except for conflict of laws rules, will apply to any dispute related to these Terms of Service. Any dispute related to the Terms, the Privacy Policy, or the Service itself will be decided by the state and federal courts in Dekalb County, Georgia, USA, and each party will be subject to the jurisdiction of those courts.

23. Force Majeure

We won't be held liable for any delays or failure in performance of any part of the Service, from any cause beyond our control. This includes, but is not limited to, acts of God, changes to law or regulations, embargoes, war, riots, fires, earthquakes, floods, strikes, power blackouts, unusually severe weather conditions, acts of hackers or third-party internet service providers, and changes to Teachable's API.

24. Survivability

Even if this Agreement is terminated, the following sections will continue to apply: Proprietary Rights Owned by Us, Proprietary Rights Owned by You, Compliance with Laws, Limitation of Liability, No Warranties, Indemnity, Choice of Law, Severability, and Entire Agreement.

25. Severability

If it turns out that a section of this Agreement isn't enforceable, then that section will be removed or edited as little as necessary, and the rest of the Terms will still be valid.

26. Interpretation

The headers and sidebar text are provided only to make this agreement easier to read and understand. The fact that we wrote these Terms won't affect the way this Agreement is interpreted.

27. Amendments and Waiver

Amendments or changes to these Terms won't be effective until we publish an updated version of the App. If we don't immediately take action on a violation of these Terms, we're not giving up any rights under the Terms, and we may still take action at some point.

28. No Changes in Terms at Request of User

Because we have many Users, we can't change these Terms for any one User or group. So no changes, no exceptions.

29. Further Actions

You'll provide all documents and take any actions necessary to meet your obligations under these Terms.

30. Notification of Security Breach

In the event of a security breach that may affect our webhook relay service (including Hookdeck or Supabase components), we will notify users by email, by posting a prominent notice in the App, and on our website. If the breach involves personal data, we will comply with all applicable legal requirements for notification.

31. Notices

Any notice to you will be effective when sent via email, posted in the App, or on our website. Any notice to us will be effective when delivered to us by email at or by mail at: Attn. CPE.io LLC, DBA TeachMetrics, 1063 Sheridan Park NE, Atlanta, GA 30324, USA.

32. Entire Agreement

These Terms and our Privacy Policy (all of which are incorporated into these Terms by reference), and any Terms you've agreed to make up the entire agreement and supersede all prior agreements, representations, and understandings.
