Terms of Service
Introduction
CPE.io LLC, a Georgia limited liability company, doing business as TeachMetrics ("TeachMetrics", "we," or "us") refers to employees, independent contractors, agents, and representatives ("our Team"). By purchasing or using the TeachMetrics application (the "App"), self-hosted web software, or our managed hosting service, you're agreeing to these Terms.
We provide web software that helps you analyze and gain insights from your Teachable school data (the "Services"). The TeachMetrics application (we'll refer to it as the "App") connects to your Teachable account via the Teachable API and Teachable webhooks, and provides analytics dashboards, reports, insights, and email campaign tools for your students, courses, and revenue. The App is available as a self-hosted annual license (you install and run it on your own server) or as managed hosting (we run your instance for you).
As a user of the App, or a representative of an entity that's using the App, you're a "User" according to this agreement (or "you"). These Terms of Service ("Terms," including our Privacy Policy) define the terms and conditions under which you're allowed to use the TeachMetrics App and how we'll treat your account while you're a User.
Account
1. Eligibility
In order to use the TeachMetrics App, you must:
- be at least eighteen (18) years old and able to enter into contracts;
- have a valid Teachable subscription with API access (Growth plan or higher);
- agree to these Terms;
- be the owner or authorized administrator of the Teachable school you connect; and
- comply with Teachable's Terms of Service and API usage policies.
By using the TeachMetrics App, you represent and warrant that you meet all the requirements listed above, and that you won't use the App in a way that violates any laws or regulations. You also agree not to use the App for any purpose it was not designed for. The App is licensed per Teachable school ("per site") under the TeachMetrics Commercial Software License Agreement (EULA); a license covers one school. You agree not to redistribute, resell, sublicense, or publish the App or its source code, in whole or in part. TeachMetrics reserves the right to restrict access to the Services and take appropriate legal action against users who violate these Terms.
2. Term, Fees, and Renewal
The Term begins when you purchase a TeachMetrics subscription (self-hosted license or managed hosting) and continues while your subscription is active. Purchasing or using the App means that you've officially "signed" the Terms. If you purchase or use the App on behalf of a company or other entity, you represent and warrant that you have the authority to accept these Terms on their behalf.
Subscriptions are billed annually, per site. Your subscription renews at the end of each annual term unless cancelled. Current pricing is published on our website; pricing labeled "founding" pricing may change for subsequent terms, and we will notify you before a renewal at a changed price. New purchases include a 30-day money-back guarantee — if TeachMetrics isn't right for you, contact us within 30 days of first purchase for a full refund.
You may terminate at any time by cancelling your subscription. If you self-host, your data is in your own database and remains yours; simply delete your installation if you no longer want it. If we host your instance, you may export your data before termination, and we delete the instance and its backups within 30 days after termination (see the DPA in our Privacy Policy). When your subscription lapses, your right to updates (self-hosted) or the hosted service (managed) ends.
3. Changes
We may change any of the Terms by posting an updated version on our website. The updated Terms will be effective when posted, and for existing subscribers no later than their next renewal. By continuing to use the App or Services after changes are posted, you agree to the revised Terms. We may change the App, the Service, or any features of the Service at any time.
4. Account and Password
Your TeachMetrics installation has its own administrator accounts, which are stored in your installation's database (or your managed instance's database) — not in any central TeachMetrics account system. Your Teachable API key is stored encrypted in your installation. You are responsible for keeping your server (if self-hosted), your administrator credentials, and your Teachable API key secure. We are not responsible for any losses due to stolen or compromised servers, credentials, or API keys.
5. User Data Disputes
We don't know your organization or the nature of your relationships, and we don't arbitrate disputes over who owns the Teachable data or analytics stored in your TeachMetrics installation.
Rights
6. Proprietary Rights Owned by Us
You shall respect our proprietary rights in the App and the software used to provide the TeachMetrics service (proprietary rights include patents, trademarks, service marks, and copyrights).
7. Proprietary Rights Owned by You
You represent and warrant that you either own or have permission to use and analyze the data from your Teachable school. You retain ownership of your Teachable data. You can export your analytics data from the Service at any time. We may use or disclose your materials only as we describe in these Terms and our Privacy Policy.
8. Privacy Policy
We may use and disclose your information according to our Privacy Policy. Our Privacy Policy will be treated as part of these Terms.
9. Right to Review and Use Data
If you self-host, your Teachable data is stored in your own installation's database and is not transmitted to our servers. If we host your instance, we process your data solely to operate and support the Services, as described in our Privacy Policy and its DPA. See Section 12 for details.
We may collect anonymized, aggregated usage data about how the App is used to improve our services. Such aggregated data cannot identify you personally. No personally identifiable information or your Teachable school data is used in these processes.
Rules and Abuse
10. General Rules
You promise to follow these rules:
- You will only connect Teachable schools for which you are the owner or authorized administrator.
- You won't use the App to access data you don't have permission to view.
- You won't violate our Terms of Service or Privacy Policy.
- You won't use our Service in an unintended way.
- You won't attempt to circumvent Teachable's API rate limits through the App.
- You won't use the App to violate any laws, regulations, or Teachable's Terms of Service.
If you violate any of these rules, then we may suspend or terminate your access to the App.
11. Reporting Abuse
If you think anyone is violating any of these Terms, please notify us immediately. Please report any suspicious activity or potential violations.
12. Service Usage
TeachMetrics fetches your Teachable data via the Teachable API and receives Teachable webhook events directly at your installation's own webhook URL. If you self-host, this data flows directly between your server and Teachable.com—our servers are not involved. If we host your instance, the same flows run on the infrastructure we operate for you.
If you enable optional features, the App also connects to services you configure: your SMTP provider for email campaigns, and your AI provider for AI insights (or the provider we configure, if you purchase AI as a managed add-on).
The App's AI features are designed to send only aggregate, non-student-identifying data to the configured AI provider, enforced by the App's own query safeguards (see our Privacy Policy, Section 1.4). If you modify the App — including its AI prompts, data views, query safeguards, or any other code — you assume all responsibility for what your modified installation transmits to AI providers or any other third party, including any exposure of personal data, and we will have no liability for it.
You may only use the Services for legitimate TeachMetrics functionality. For managed hosting, we may throttle or restrict usage at our discretion to protect the service.
Support is provided by email on a reasonable-efforts basis, per your plan. No response-time or uptime guarantee applies unless we agree to one with you in writing.
13. Compliance with Laws
You are responsible for using the TeachMetrics App in compliance with all applicable laws and regulations in your jurisdiction, including data protection laws that may apply to your Teachable students' data. We are not responsible for your compliance with local laws.
If you use the App's email campaign and automation features, you are solely responsible for complying with applicable email-marketing laws (including CAN-SPAM, GDPR, and CASL) — including having consent to email your recipients and honoring unsubscribe requests. Email sends through the SMTP provider you configure, under your own sending reputation and legal responsibility.
14. U.S. Export Controls
The software that supports the Services (the "Software") is subject to United States export controls. None of the Software may be downloaded or otherwise exported or re-exported in violation of United States export laws. By using the Software, you represent that you are not located in, ordinarily resident in, or acting on behalf of any country or region subject to comprehensive U.S. sanctions, and that you are not on any U.S. government restricted-party list.
Liability
15. Limitation of Liability
To the maximum extent permitted by law, you assume full responsibility for any loss that results from your use of the App and the Services. We and our Team won't be liable for any indirect, punitive, special, or consequential damages under any circumstances, even if they're based on negligence or we've been advised of the possibility of those damages. Our total liability for all claims about the Service will be no more than what you paid us for the Service in the twelve (12) months before the claim arose.
The App provides analytics, trends, and AI-generated insights for informational purposes only. You are solely responsible for the business decisions you make. We and our Team won't be liable for any loss or damage arising from decisions made in reliance on the App's data, analytics, reports, or AI outputs, or from any errors, inaccuracies, or omissions in them.
16. No Warranties
To the maximum extent permitted by law, we provide the App and the Service "AS IS" and "AS AVAILABLE," with all faults and without warranties of any kind, either express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant that the App will be uninterrupted, error-free, or secure.
Analytics, trends, and AI-generated outputs are derived from your Teachable data and may contain errors, inaccuracies, or omissions. We do not guarantee their accuracy, completeness, or usefulness. They are informational tools — not business, financial, legal, or other professional advice — and any decisions you make based on them are yours alone.
17. Indemnity
You agree to indemnify and hold us harmless from any losses (including attorney fees) that result from third-party claims that you or someone using your installation did something that, if true, would violate any of these Terms.
18. Attorney Fees
If we file an action against you claiming you breached these Terms and we prevail, or if you bring an action against us and we prevail in defending it, we're entitled to recover our reasonable attorney fees and any damages or other relief we may be awarded.
19. Equitable Relief
If you violate these Terms then we may seek injunctive relief (meaning we may request a court order to stop you) or other equitable relief.
20. Disclaimers; Relationship of the Parties
We and our Team aren't responsible for the behavior of Teachable, the accuracy of data provided by Teachable's API, or any third-party services.
We are an independent software vendor. Nothing in these Terms or in your use of the App creates any employment, co-employment, joint-employer, agency, partnership, joint-venture, or fiduciary relationship between you (or your school) and us. We do not direct, control, or advise how you operate your school or business — the App surfaces your own data and provides analytics and AI tools to inform decisions that remain solely yours.
Fine Print
21. Assignments
You may not assign any of your rights under this agreement to anyone else. We may assign our rights to any other individual or entity at our discretion.
22. Choice of Law
The laws of the State of Georgia, USA, except for conflict of laws rules, will apply to any dispute related to these Terms of Service. Any dispute related to the Terms, the Privacy Policy, or the Service itself will be decided by the state and federal courts in Dekalb County, Georgia, USA, and each party will be subject to the jurisdiction of those courts.
23. Force Majeure
We won't be held liable for any delays or failure in performance of any part of the Service, from any cause beyond our control. This includes, but is not limited to, acts of God, changes to law or regulations, embargoes, war, riots, fires, earthquakes, floods, strikes, power blackouts, unusually severe weather conditions, acts of hackers or third-party internet service providers, and changes to Teachable's API.
24. Survivability
Even if this Agreement is terminated, the following sections will continue to apply: Proprietary Rights Owned by Us, Proprietary Rights Owned by You, Compliance with Laws, Limitation of Liability, No Warranties, Disclaimers; Relationship of the Parties, Indemnity, Choice of Law, Severability, and Entire Agreement.
25. Severability
If it turns out that a section of this Agreement isn't enforceable, then that section will be removed or edited as little as necessary, and the rest of the Terms will still be valid.
26. Interpretation
The headers and sidebar text are provided only to make this agreement easier to read and understand. The fact that we wrote these Terms won't affect the way this Agreement is interpreted.
27. Amendments and Waiver
Amendments or changes to these Terms won't be effective until we post an updated version on our website. If we don't immediately take action on a violation of these Terms, we're not giving up any rights under the Terms, and we may still take action at some point.
28. No Changes in Terms at Request of User
Because we have many Users, we can't change these Terms for any one User or group. So no changes, no exceptions.
29. Further Actions
You'll provide all documents and take any actions necessary to meet your obligations under these Terms.
30. Notification of Security Breach
In the event of a security breach affecting systems we operate (including managed hosting instances or our website), we will notify affected users by email and by posting a prominent notice on our website. If the breach involves personal data, we will comply with all applicable legal requirements for notification.
31. Notices
Any notice to you will be effective when sent via email, posted in the App, or on our website. Any notice to us will be effective when delivered to us by email at or by mail at: Attn. CPE.io LLC, DBA TeachMetrics, 1063 Sheridan Park NE, Atlanta, GA 30324, USA.
32. Entire Agreement
These Terms and our Privacy Policy (all of which are incorporated into these Terms by reference), and any Terms you've agreed to make up the entire agreement and supersede all prior agreements, representations, and understandings.
